Americanas CPI must summon shareholders to address fraud

Jorge Paulo Lemann, Carlos Alberto Sicupira and Marcel Hermann Telles, the three main shareholders of the Americanas retail chain, must be summoned to give testimony at the Parliamentary Commission of Inquiry (CPI) that investigates alleged fraud involving the management of the company by the group. This information was provided by columnist Elio Gaspari, from the newspaper Folha de S. Paulo.

Directors of Americanas, who have no direct connection with shareholders, sold BRL 244 million in shares in the second half of 2022 — a period that coincides with the group’s bankruptcy. Another party involved in the process are the companies PwC and KPMG, responsible for auditing the group’s accounts. They should have warned about the possibilities of bankruptcy and fraud.

The current CEO of Americanas, Leonardo Coelho Pereira, who has already been heard by the CPI, claims that PwC and KPMG may have facilitated the irregularities and helped to “make up” the company’s real situation.

Decline of Americana

A monthly report from the company’s judicial administrators shows that, from January to June 18, the retailer closed 43 stores in the country, and, between December and May, Americanas lost almost 10% of active customers – the number went from 49.1 million to 44.2 million, that is, almost 5 million fewer customers.

Of the stores, the total closed corresponds to a decrease of 2.3% of the 1.8 thousand existing establishments at the beginning of the year.

The monthly report made by the offices Preserva-Ação Judicial Administration and Zveiter Advocacy Office also showed that the number of employees at the retailer went from 40.4 thousand, in March, to 37 thousand in June, a fall of 8.5%, which corresponds to more than 3.4 thousand employees.

to Americanas filed for bankruptcy on January 19 — the group’s debts exceed R$43 billion with 16,300 creditors. On June 13, citing an independent report by company lawyers, the company admitted the fraud and blamed the previous board.
