Alibaba Plans $10.2B Hong Kong Share Sale to Fund AI Development

Alibaba intends to use 100% of the net proceeds from the placement to invest in its “full stack” AI capabilities

The proposed transaction marks the largest-ever primary follow-on offering by a Hong Kong-listed company, and ranks as the world’s third-largest primary follow-on share sale this year following offerings from Alphabet and Intel, according to Reuters. A term sheet reviewed by Reuters indicated that Alibaba planned to offer 710 million ordinary shares at HK$112.70 each, representing a 3.6% discount to its most recent closing price.

AI Capabilities and Offshore Transaction

The company stated it intends to allocate 100% of the net proceeds toward its “full stack” AI capabilities, encompassing chips, infrastructure, and the development and deployment of AI models. Following oversubscription driven by strong demand from investors such as sovereign wealth funds, Alibaba increased the offering size. Because the share placement was conducted as an offshore transaction not registered under U.S. securities laws, American investors were ineligible to participate. Morgan Stanley, HSBC, UBS, and CICC are serving as joint bookrunners for the offering.

Financial Impact and Industry Context

The fundraising effort follows recent quarterly results showing that Alibaba’s net profit fell 75% from a year earlier as the company accelerated its capital expenditures for AI. CEO Eddie Wu explained on an earnings call that in order to be able to capture that future growth, we first need to make these capex investments to build out the necessary compute capacity. Alibaba reported last week that it had already utilized nearly half of its three-year capex investment plan, with the expected payback period for its AI investments on track to shorten from three years to 2.5 years due to surging demand.

The global AI boom has driven extensive capital outlays across the United States and China since 2022. Major U.S. hyperscalers including Microsoft, Amazon, Alphabet, and Meta are collectively projected to spend approximately $725 billion in capital expenditures in 2026, largely directed toward AI data centers, chips, and cloud infrastructure.
