Ben & Jerry’s and parent company Unilever are coming to court

At the heart of the planned trial, the main question is what are the powers of the independent board of Ben & Jerry’s? According to the 2000 purchase agreement, Unilever agreed to allow Ben & Jerry’s to have its own board consisting of 9 independent directors and two representatives of the parent company. The board of directors has the primary responsibility for carrying out the social mission of the ice cream maker, while Unilever is responsible for operational and financial issues.
