Emet Computing reported that the company’s board of directors had made a decision to approve the splitting of the company’s activities through a prospectus of splitting and listing for trading on the Tel Aviv Stock Exchange into two public companies. The new public company to which the OEM activity will be transferred will be called “Hyper Global”.

As part of the split prospectus published by the company, it notes that in recent years there has been an increase in the volume of activity in the OEM field, mainly abroad as a result of the acquisition of companies in the United States and England in parallel with the expansion of operations in Israel.

With the intention of enabling business focus and further global expansion of the OEM field, the board of directors of EMT Computing decided to make a move to split the OEM activity from its operations and transfer to Hyper Global Ltd., which will absorb this activity, including Holdings in its OEM subsidiaries.

The split is expected to take place (subject to the fulfillment of the conditions precedent) by crediting the accounts of the eligible shareholders to whom Emet Computing shares are registered in the Tel Aviv Stock Exchange on the determining date of the split, when any holding in Emet Computing will win the company’s share.

The determining date regarding the eligibility of the ordinary shareholders of Emet Computing to receive the Company’s shares is March 6, 2022 and the date on which the actual split for the eligible shareholders will be carried out is March 9, 2022.
