EQT to Acquire QIAGEN in €10.8 Billion All-Cash Takeover Deal

QIAGEN N.V. has agreed to an all-cash public takeover offer from EQT Private Equity valuing the life sciences and molecular diagnostics provider at approximately €10.8 billion. The October 21, 2026, deal offers shareholders €46.50 per share, representing a 40.3% premium over the company’s unaffected trading price last July.

The agreement follows a comprehensive review by QIAGEN’s Supervisory Board and Managing Board. Both governing bodies unanimously support the transaction and recommend that shareholders accept the bid. Crown NL Bidco B.V., a holding company controlled by the EQT XI fund, is spearheading the acquisition. The investor group also includes Luxinva S.A., a wholly-owned subsidiary of the Abu Dhabi Investment Authority, alongside CPP Investment Board Europe Inc. as indirect co-investors.

EQT Pays €46.50 Per Share

Under the terms of the Business Combination Agreement, investors will receive €46.50 in cash for each QIAGEN share. That figure represents a 40.3% premium to the XETRA closing price of €33.15 on July 8, 2026, which was the final trading day before market speculation regarding private equity interest surfaced. Measured against the three-month volume-weighted average price up to that date, the premium climbs to 46.9%.

The overall enterprise value of approximately €10.8 billion translates to roughly $12.1 billion at current exchange rates, a total that includes approximately $1.1 billion of net debt. Financing for the transaction relies on committed bank debt backed by a group of financial institutions, with Morgan Stanley, Jefferies, Deutsche Bank, SMBC, Crédit Agricole, and UniCredit acting as bookrunners and mandated lead arrangers.

Matteo Thun-Hohenstein, partner at EQT, stated that QIAGEN is an outstanding global leader in the life science tools and diagnostics market. EQT Private Equity is managed and controlled by affiliates of EQT AB, which is headquartered in Stockholm, Sweden, and manages €354 billion in assets under management. Legal advisers for the transaction included a multijurisdictional team from Clifford Chance, featuring partners Thomas Krecek in Frankfurt, Christian Vogel and Dominik Heß in Düsseldorf, Samuel Frommelt in Munich, Bruce Embley in London, Richard Kalaher in London, Dominik Engl in Frankfurt, and Michiel Sunderman in Amsterdam, alongside additional support from Axel Wittmann in Frankfurt and Stefanie Ferring and Thiébaud Lohisse in Luxembourg.

QIAGEN Moves to Private Ownership

Headquartered in Venlo, Netherlands, QIAGEN employed about 5,400 people across more than 35 locations as of September 30, 2026. Its sample preparation kits and assay technologies support more than 500,000 customers worldwide across molecular diagnostics, applied testing, pharmaceutical research, and academic institutions. In the first half of 2026, QIAGEN reported financial results supported by solid operating performance.

Under private ownership, we can move faster and have greater freedom to put resources behind the most attractive opportunities that align best with our long-term strategy.

Jonathan M. Pratt, Chief Executive Officer of QIAGEN

Leadership pointed to the operational flexibility expected under private backing as essential for the company’s next growth phase. EQT has made specific commitments regarding QIAGEN’s long-term development, promising support for its core strategy, key brands, operational footprint, R&D activities, employee arrangements, and corporate culture.

Thermo Fisher Precedent Shapes Terms

The deal structure directly contrasts with the failed acquisition attempt mounted by Thermo Fisher Scientific in 2020. That earlier €11.5 billion bid collapsed when only about 47% of shares were tendered, falling short of the required two-thirds threshold amid resistance from hedge fund holdouts who argued the price undervalued pandemic-driven demand.

To prevent a similar impasse, the current transaction requires a minimum acceptance threshold of 50% of the outstanding share capital plus one share. Furthermore, EQT plans post-closing measures to acquire full ownership of the entire business, which will result in the termination of QIAGEN stock listings on the Frankfurt Stock Exchange and the New York Stock Exchange.

BaFin and Merger Clearances Required for 2027 Completion

The takeover offer remains subject to customary closing conditions, including approval of the offer document by BaFin, the German Federal Financial Supervisory Authority, alongside merger control and foreign investment clearances.

Alongside the deal announcement, QIAGEN reported preliminary third-quarter net sales of $548 million and suspended its full-year outlook. Parties anticipate that the transaction will reach completion by mid-2027, keeping the company operating independently under its current management until that time.
