How Uralchem by Dmitry Mazepin besieged Togliattiazot for 13 years

by time news

Representatives of Uralchem on November 27 at an extraordinary meeting of shareholders (EGM) of Togliattiazot (ToAZ) received all five seats in the new board of directors of the company, although the share of Uralchem and its structures in the share capital of ToAZ is only 9.97%. The EGM was held at the request of Uralchem. The shareholders decided to early terminate the powers of the management company (JSC Corporation Togliattiazot) and members of the board of directors.

On the eve of the meeting of shareholders, the acting general director of the management company, Andrei Bobkov, was detained, who sent complaints to law enforcement agencies about the violent seizure of the enterprise. The main owner of Togliattiazot, Sergei Makhlai, told Forbes that “these actions were carried out in the interests of Uralchem with the aim of illegally changing the board of directors of Togliattiazot and thus carrying out a violent raider takeover of a competitor.” Rinat Gizatulin, deputy general director of Uralchem, told the newspaper that “there is no question of any raider seizure,” and “the holding of the shareholders’ meeting is not connected with the arrest of the ex-director of the plant in the case of fraud.”

The conflict between ToAZ and its minority shareholder Uralchem has been going on for many years. “Vedomosti” was looking into what happened in one of the largest producers of nitrogen fertilizers in Russia.
