IDX Shareholders Approve Special Dividend of Rp 1.564 Trillion

Shareholders meeting in the Main Hall of the exchange’s Jakarta headquarters cleared three major proposals by acclamation during the Extraordinary General Meeting of Shareholders, marking a pivotal turning point for the nation’s capital market infrastructure. The decisions establish a special cash dividend distribution, restructure the exchange’s founding articles to enable demutualization, and adopt the operating budget for the coming year.

First Dividend Distribution in History and Retained Earnings Allocation

Jeffrey Hendrik, President Director of the IDX, said that the distribution of a cash dividend in the form of a special dividend to eligible shareholders of the company, as recorded in the company's shareholder register as of October 27, 2026, has a total value of Rp 1.564 trillion.

Alongside the dividend payout, shareholders authorized drawing from retained earnings based on audited financial statements through June 30, 2026.

The scheduling of the meeting itself followed adjustments from an earlier timeline, having been postponed from September 15, 2026, because the requisite Otoritas Jasa Keuangan regulations had not yet been issued. Following those formal regulatory steps, the meeting proceeded on October 28, 2026, inside the Main Hall of the BEI building in Jakarta, where Jeffrey Hendrik delivered updates regarding the operational blueprint and financial health. The balance sheet anticipates total assets reaching Rp 9,12 triliun with a total equity position of Rp 7,66 triliun.

Articles of Association Amended for Exchange Demutualization

Wednesday’s vote overhauled the exchange’s foundational governing documents to dismantle the traditional mutual structure where only brokerages held ownership. The structural shift follows the Financial Services Authority regulation governing exchange shareholders, opening participation beyond active trading members.

Under the revised articles, individuals and domestic legal entities—encompassing both trading members and non-members—become eligible to hold shares. This restructuring directly references POJK Number 13 of 2026 concerning Stock Exchange Shareholders, which creates specific pathways for entities such as Badan Pengelola Investasi Daya Anagata Nusantara to secure ownership. Chief Executive Officer of Danantara Rosan Perkasa Roeslani previously indicated an anticipated stake ranging between 5 percent and 10 percent following the transition, a prospect reviewed by market participants and analysts such as Elandry Pratama, Branch Manager of Panin Sekuritas Pondok Indah, who noted that structural changes must be accompanied by enhanced transparency, free float levels, and liquidity growth.

Executives noted that further ownership expansion options—including a future public share offering—remain under active evaluation, with initial public offerings viewed as a logical subsequent phase in alignment with international bursa models once foundational articles are fully implemented.

Jeffrey Hendrik stated that moving forward, of course, we hope that like other exchanges, it will be an IPO. But before entering the IPO stage, right now we are going through this stage first (amendments).

The newly approved structural adjustments remain pending before regulatory authorities. Formal enactment requires clearance from the Financial Services Authority alongside statutory notification delivered to the Ministry of Law.
