PayPal Holdings, Inc. is in negotiations to sell itself to a buying group including Stripe and private-equity firm Advent International, following a rejected $60.50-per-share proposal that valued the payments giant at approximately $53 billion.

While the $53 billion valuation tabled by Stripe and Advent in July was initially dismissed by PayPal as insufficient, discussions over a higher price remain active.

The Deal Structure and Valuation Pressures

Under the proposed terms, Stripe and Advent International would take equal stakes in the combined company without breaking up PayPal’s business, according to reporting from the Wall Street Journal and Reuters. The financial scale of the transaction falls within Stripe’s financial reach. The private fintech carried a formal valuation of $159 billion in February 2026, with secondary-market pricing on platform Hiive implying a value near $198.78 billion.

Market reaction to the takeover interest has provided a substantial tailwind for PayPal’s equity. The stock surged 32.5% in July alone, making it the third-best performer in the S&P 500 for that month.

Antitrust Hurdles and Regulatory Scrutiny

Combining PayPal and Stripe would face significant antitrust scrutiny in the United States and likely in Europe.

Market Speculation and Jim Cramer’s Assessment

The approach from Stripe and Advent is not an isolated incident of interest in PayPal. Separate reporting from Bloomberg indicated that at least one large PayPal rival was examining the whole company, while other potential suitors were focused on specific assets.
