Private equity fund Silver Lake plans to merge business management software seller Cegid and payroll platform Silae in a transaction valued at over 10 billion euros ($11.6 billion). The planned deal brings together 2 million customers, creates a 1,400-person developer team for artificial intelligence, and targets a first-half 2027 completion.

Software investor Silver Lake is orchestrating a major consolidation of European enterprise technology, setting up a planned merger between two of its key portfolio companies as the sector grapples with artificial intelligence disruption. The transaction unites French cloud business management platform Cegid and payroll and human resources specialist Silae under an enterprise value exceeding 10 billion euros, or roughly $11.6 billion.

The deal positions the combined entity as one of France’s largest software companies and a premier European technology champion. Together, the two platforms power the day-to-day accounting, tax, finance, and payroll operations for 2 million end-customers and more than 15,000 chartered accountancy firms across Europe, while generating more than 13 million payslips every month.

Corporate Leadership and Deal Structure

Silver Lake remains the majority shareholder of both Cegid and Silae and will maintain that controlling stake in the combined group. Subject to regulatory approvals, the transaction is expected to close in the first half of 2027.

Leadership changes accompany the corporate combination. Christian Pedersen has been appointed CEO of Cegid, joining the firm from global AI software provider IFS to lead the integration and spearhead deployment of the joint product offering. Meanwhile, Christian Lucas, a managing partner at California-based Silver Lake, will serve as chairman of the combined business.

The combined business is expected to generate annual revenue of 1.6 billion euros, equivalent to approximately $1.9 billion, according to reporting by the Financial Times.

Product Integration and Regulatory Pressures

The merger links Cegid’s accounting and tax production tools, its recent acquisition Shine’s banking and digital finance capabilities, and Silae’s payroll platform into a single ecosystem. This native integration is designed to connect key data, automate back-office workflows, and streamline interactions between businesses, chartered public accountants, and value-added resellers.

The combined platform arrives as French small and medium-sized businesses navigate the mandatory e-invoicing reform that entered into force this month ahead of a more demanding enforcement phase slated for 2027. By tying payroll data directly to accounting software and activating Shine banking solutions through the mySilae platform, the companies aim to deliver automated treasury and cash management forecasting tools.

R&D Investment and Sector Pressures

Software stocks have fluctuated amid investor anxiety over whether rapid advancements in artificial intelligence could trigger widespread disruption across the software-as-a-service market. Although parts of the sector have since rebounded—with May marking the industry’s strongest month since 2001—investor concerns persist regarding competitive pressures from new AI tools.

To counter these market headwinds, the merging firms intend to scale up research and development spending. The combination pools the companies’ resources to assemble a developer team of 1,400 engineers dedicated to building AI-driven products for small businesses and professional accounting advisors.
