Unicaja Banco has agreed to appoint Nuria Aliño Pérez and Inés Guzmán Arrue as independent directors by co-optation.

Aliño has been CEO of BBVA Corporate and Investment Banking and since 2016 she joined the World Bank, while Guzmán has spent 25 years at Accenture in different positions of responsibility.

These appointments have been made following a favorable report and proposal from the appointments committee and are subject to obtaining the corresponding regulatory authorizations.

They join the two appointments of two other independent directors announced last week, Antonio Carrascosa Morales, former director of the Fund for Orderly Bank Restructuring (FROB), and Rocío Fernández Funcia, independent director of Avanza Previsión and Cofides and former partner in charge of Capital Markets at PwC.

In this way, the entity ends the search for four independent directors to replace the departures of María Garaña, Jorge Delclaux, Maite Costa and Isidoro Unda. These last two had to leave the board after not receiving the ‘go-ahead’ from the last shareholders’ meeting.

Unicaja Bankin the same notification about the appointment of Aliño y Guzmán, recalls that the process for the appointment of a new CEO to replace Manuel Menéndez continues.

It should also be remembered that the merger by absorption agreement of Liberbank by Unicaja contemplates that before July 30, 2023, the board of directors must modify the governance model of Unicaja Banco, in such a way that the president of the board, Manuel Azuaga, leaves his executive functions.
