Evgeny Lachkov and Leonid Goldenberg (each owning 32% of the authorized capital of NCC) sent a pre-search statement to Alexander Kalinin (the president and owner of 33% of the corporation), in which they demand to pay them 130.4 million rubles each. (Vedomosti has a copy of the document). NCC itself, in their opinion, Kalinin must pay a little less than 509.5 million rubles. The total amount of claims is about 770.5 million rubles. If they are not satisfied, Goldenberg and Lachkov will file a claim against Kalinin in the Moscow Arbitration Court, the statement said. The lawsuit itself will be filed in the near future, the lawyer representing them promised.

The claims of Lachkov and Goldenberg relate to changes made to the charter of the Aquarius group of companies, owned by NCC, in April this year. They argue that the amendments block transactions with Aquarius securities without the consent of all of its shareholders. At the same time, now all the key issues for Aquarius, in particular large transactions, changes in the authorized capital and charter, determination of the main activities, appointment of the general director, must be resolved by 99% of the votes, they report. Even minority shareholders of Aquarius can actually block any decisions, simply by not participating in their discussion for one reason or another, follows from the statement.
