CVR Energy, Inc. agreed on November 3, 2026, to acquire two Marathon Petroleum Corp. refineries and related midstream and marketing assets for approximately $4.2 billion plus inventory value, nearly doubling its crude processing capacity during a period of surging fuel margins.
Refining Assets and Deal Structure
The transaction covers the 105,000-barrel-per-calendar-day St. Paul Park refinery in Minnesota and the 72,000-barrel-per-calendar-day Mandan refinery in North Dakota according to Hoodline. Marathon Petroleum will receive $3.45 billion for the refining assets excluding inventory value, while its midstream subsidiary, MPLX LP, will collect $750 million for related infrastructure as reported by Yahoo Finance. The sale of the midstream assets represents a 9x multiple on forecast 2027 EBITDA noted Yahoo Finance. The package also includes a marketing arm that supplies up to 590 branded retail locations across the Upper Midwest and Northern Great Plains according to BigGo Finance.
CVR Energy’s overall crude throughput capacity will expand from roughly 207,000 barrels daily to 384,000 barrels daily following the purchase, as citybiz pointed out noted citybiz. Between 2023 and 2025, the refineries achieved an average utilization rate of 98 percent excluding scheduled turnarounds according to Oil & Gas Journal. Citybiz also covered that the properties brought in about $1.2 billion in adjusted EBITDA throughout the year-long period ending September 30, 2026 reported citybiz.

Supporting midstream infrastructure owned by MPLX includes a crude oil pipeline, storage facilities, and three distribution terminals linked to the plants. The St. Paul Park facility processes both sweet and heavy sour crude inputs, turning them out into gasoline, distillates, asphalt, propane, heavy fuel oil, and natural gas liquids and petrochemicals distributed via truck, rail, and barge. Meanwhile, the Mandan plant processes sweet domestic crude sourced primarily from North Dakota into similar refined outputs shipped out through truck and rail links.
Financing the Purchase and Equity Commitments
To fund the purchase, CVR Energy plans to deploy $2.5 billion in committed secured debt financing, a $500 million equity commitment from controlling stockholder IEP Energy Holding LLC, an $800 million equity investment from commodities trader Trafigura US Holdings, Inc., and existing cash detailed citybiz. Trafigura Trading LLC will also become the exclusive crude supplier and trading intermediary for the acquired plants under long-term commercial agreements reported Trafigura. The combined equity support and supply intermediation from Trafigura total over $1 billion. Financing arrangements also involve Barclays, Wells Fargo, and Mizuho providing the committed debt lines, while Barclays serves as the exclusive financial advisor alongside legal counsel from Vinson & Elkins and Proskauer Rose.
