Elon Musk sues OpenAI for “distorting” its purpose of serving humanity

Elon Musk filed a lawsuit against OpenAI in a San Francisco court, accusing the company of betraying and “distorting” the goals and objectives that were set when it was founded in 2015. The plaintiff wants the court to force OpenAI to comply with the terms of its founding agreement and “pursue the mission of developing artificial intelligence for the benefit of humanity,” and not for the benefit of its management and Microsoft.

OpenAI was founded in 2015 as a non-profit research organization to develop “safe and useful” AI technologies. Among the founders were scientists, entrepreneurs, investors, and among them Elon Musk, who was on the board of directors and partially financed the research. As Mr. Musk notes in the lawsuit, when creating OpenAI, he entered into an agreement with the company’s other co-founders Sam Altman and Greg Brockman that OpenAI would remain a non-profit entity that would develop technologies for the benefit of society. The founding documents, notes Elon Musk, also indicated that OpenAI would keep the source code open and not close access to it for other companies. In 2018, Elon Musk broke off relations with OpenAI, and in 2019 the company changed its structure to commercial and Microsoft began investing in it. In particular, Microsoft invested $1 billion in 2019 and $10 billion in 2023.

As Mr. Musk claims in his lawsuit, “OpenAI has transformed itself into a de facto closed-source division of the world’s largest technology company, Microsoft.” And now, according to the plaintiff, the company “not only develops, but also improves strong artificial intelligence (artificial general intelligence) in order to increase Microsoft’s profits, and not for the benefit of humanity.” Elon Musk accuses the management of OpenAI, represented by current CEO Sam Altman, President Greg Brockman and all structures included in OpenAI, of failure to fulfill the terms of the contract, breach of fiduciary duties, and unfair business practices. The plaintiff insists that the case be tried by a jury.
